Introduction

ChoicePlans and its respective affiliates or assigns (collectively, "CP," "we," "us," or "our") own and operate www.StartChoicePlans.com (the "Site"). The Site is intended to facilitate the provision of Services to registered users. "Services" include providing individuals with information on health and wellness care; providing access to medical, pharmacy, and lab services; development and gathering of health care records; and telecommunications support for using the Services as a means of direct access to healthcare providers.

These Terms of Use describe your rights and responsibilities in connection with the CP Site. Your access to and use of the Site is subject to these Terms of Use, our Privacy Policy, and all applicable laws and regulations. CP reserves the right to review or remove any part of these Terms of Use at any time without prior notice.

Eligibility

In order to qualify to use the Services, you must be employed by an employer who participates in the Plan, and you agree to be legally bound by and comply with these Terms of Use. Satisfying these requirements does not guarantee that you will receive Services. CP reserves the right to change or include new eligibility requirements at its sole discretion.

Special Consent to Telehealth Services

Telemedicine involves the delivery of health care services using electronic communications between a health care provider and a patient who are not in the same physical location. The electronic systems used in the Services incorporate network and software security protocols to protect the privacy and security of health information. The Consent to Telehealth is incorporated into these Terms of Use by reference.

Privacy Policy

CP understands the importance of confidentiality and privacy regarding your health information. Please see our Privacy Policy for a description of how we may collect and use your personal information. Our Privacy Policy may change from time to time and any changes will be posted on the Site.

Your Relationship With ChoicePlans

CP does not provide any medical services. Rather, CP provides a technology platform for you to access health care providers and obtain access to additional health information. The health and wellness resources made available through our Services are not a substitute for direct in-person health care services in all cases. CP does not provide medical advice.

Communications by Text Message and Email

By opting in to receive text messages from CP, you consent to receiving messages regarding your CP account and use of the Services. You may opt out at any time by texting "STOP" to the message received. You understand that text messages and emails sent to or received from CP are not encrypted, and that transmission of information over the Internet is not 100% secure.

Access Rights and Prohibited Use

Subject to your compliance with these Terms of Use, we grant you a personal, limited, revocable, non-exclusive, and nontransferable right to access and use the Site for your personal and non-commercial use. You agree that you will not impersonate any person or entity; use the Site to violate any law; reverse engineer any software; distribute harmful code; infringe any intellectual property right; sell or transfer access to the Site; or use the Site to create competing products or services.

Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CP AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES AND EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

Limitation of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CP OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES. THIS APPLIES EVEN IF CP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless ChoicePlans, its affiliates, directors, officers, employees, and agents from and against any claims, damages, settlements, liabilities, costs, and expenses relating to or arising from your use of the Site in an unauthorized manner, fraud, violation of law, or any breach of these Terms of Use.

Governing Law and Dispute Resolution

These Terms of Use and your use of the Site shall be governed by the laws of the State of Tennessee, without giving effect to conflict of laws principles. Any dispute arising under or relating to these Terms of Use will be resolved exclusively by final and binding arbitration in Hamilton County, Tennessee under the rules of the American Arbitration Association, except that either party may bring a claim related to intellectual property rights in any court of competent jurisdiction.

Termination

The Terms of Use will remain in full force and effect as long as you continue to access or use the Site. CP may terminate your access to the Site with or without prior notice, for any reason, at any time. You agree that if your use is terminated, you will not attempt to use the Services in any way.

Modifications

CP reserves the right at any time and for any reason to modify, or temporarily or permanently discontinue, the Site or Services, with or without notice. CP shall not be liable for any such modification, suspension, or discontinuance.
